General conditions of sale and terms of use

1. Name of the site and ownership
These General Conditions of Sale ("General Conditions of Sale" or "GCS") govern the offer and sale of Products distributed through the website, www.rance1795.com (hereinafter, indicated as "Site") by RANCÉ & C. S.r.l., VAT number 02989930157 Milan Business Register 170807, and the terms of use of the Site. The Site is owned by RANCÉ & C. S.r.l.

2. Sphere of application of the GCS
2.1 The offer and sale of the Products on the Site constitute a distance contract governed by Chapter I, Title III (Article 45 et seq.) of the Legislative Decree No. 206 of 6 September 2005 ("Consumer Code") and by Legislative Decree No. 70 of 9 April 2003, containing the rules and regulations for electronic commerce.
2.2 The User is responsible for carefully reading these General Conditions of Sale, which RANCÉ & C. S.r.l. makes available to him/her in the "General Conditions of Sale" section of the Site, as well as all other information that RANCÉ & C. S.r.l. provides to him/her on Site, both before and during the purchase process.
2.3 These General Conditions of Sale apply to all contracts consummated with RANCÉ & C. S.r.l. on the Site.
2.4 The General Conditions of Sale can be amended at any time. Any changes and/or new conditions shall be in effect from the time of their publication on the Site in the "General Conditions of Sale" section. The replacement of these General Conditions of Sale with a new version implies the automatic non-applicability, ineffectiveness, and non-enforceability of the same with respect to RANCÉ & C. S.r.l. for purchases made after their elimination from the Site, and the same also applies in the event that said General Conditions of Sale are still available and/or accessible to the public through other websites, other than the one indicated above. Therefore, Users are urged to access the Site regularly and to consult, before making any purchase, the most up-to-date version of the General Conditions of Sale.
2.5 The applicable General Conditions of Sale are those in effect on the date of the submission of the purchase order, and they are available in Italian, English, French.
2.6. The use of the distance selling service regulated in these General Conditions of Sale is reserved exclusively for consumers (hereinafter referred to as "User" or, in the plural, "Users") understood to be natural persons who act for purposes unrelated to their commercial, entrepreneurial, craft or professional activity carried out, if any, who are over the age of 18 years old (or, if minors, authorized by their legal representative).
2.7 The retailing or transfer, for any commercial or professional purpose, of the products purchased on the Site, is expressly prohibited.
2.8 The products offered for sale on the Site may only be delivered in Italy and the countries of the European Union. For shipments to countries outside the European Union, it is possible to request information by sending an e-mail to customercare@rance1795.com.
2.9 The languages used for the consummation of the sales contract through this Site are Italian, English, and French.

3. Products
3.1 Authenticity of products and intellectual property rights
3.1.1 RANCÉ & C. S.r.l. guarantees the authenticity and high quality of all the Products offered for sale on the Site.
3.1.2 The "RANCÉ" brand, as well as all the figurative and non-figurative (word) marks and more generally all the other brands, illustrations, images, and logos present on the "RANCÉ" / "RANCÉ 1795" products, on the related accessories and/or packaging, whether registered or not, are and remain the exclusive property of RANCÉ & C S.r.l. The total or partial reproduction, modification, tampering, or use of said trademarks, illustrations, images, and logos, for any reason and on any medium, are absolutely prohibited. Any violation of this right will be prosecuted through an appropriate proceeding.

4. Changes to the products
4.1  Products may vary slightly from the images depicting them. The images of the products on the Site are for illustrative purposes only. Although every effort is made to reproduce the colours accurately, there is no guarantee that the colours shown on the screen of a device will perfectly reflect the colours of the products. The product purchased may vary slightly from these images.
4.2  The packaging of the product may vary. The packaging of the product may vary from that shown in the images on the Site.
4.3  Product modifications. The products may undergo changes:
4.3.1  to reflect changes in relevant legislative or regulatory requirements; and,
4.3.2  due to the application of slight adjustments and technical improvements. Such modifications will not affect the use of the product by the User.

5. Availability of the products
5.1. The User acknowledges that the products offered by RANCÉ & C. S.r.l. on the Site are limited in number, and the User is therefore aware that RANCÉ & C. S.r.l. must check their availability at the time of purchase.
5.2. Problems may occasionally arise in connection with the availability of certain products. In such circumstances, RANCÉ & C. S.r.l. will promptly inform the User (and in any case within the terms specified below) by e-mail of the cancellation of his/her order.
In the case of only partial availability, the User shall be informed. Therefore, the User agrees to receive only the products available.
5.3. RANCÉ & C. S.r.l. reserves the right to change the articles offered for sale on the Site at any time, without any advance notice thereof.

6. Purchases on the Site
6.1 The purchase of the Products on the Site takes place after the entry of the User's data, as a "Registered User" or "Guest", pursuant to Article 6.2 hereunder, and the purchase is permitted for both users who are consumers and users who are not consumers. Natural persons are only allowed to make purchases on the condition that they have reached the age of eighteen.
6.2 Pursuant to Article 3, Paragraph I, letter a) of the Consumer Code, it is noted that consumers are natural persons who, in relation to the purchase of the products, are acting for purposes unrelated to any entrepreneurial, commercial, professional or artisanal activity that may be carried out (see Article 2.6 of these GCS).
6.3 RANCÉ & C. S.r.l. reserves the right to refuse or cancel orders that come from (i) a User with whom it has an ongoing legal dispute; (ii) a User who previously violated these GCS and/or the conditions and/or terms of the purchase contract with RANCÉ & C. S.r.l .; (iii) a User who has been involved in fraud of any kind and, in particular, in fraud related to credit card payments; and (iv) users who have issued false, incomplete or, in any case, inaccurate identification data or who have not promptly sent to RANCÉ & C. S.r.l. the documents requested by the same or who have sent invalid documents to RANCÉ & C. S.r.l.

7. Registration on the Site
7.1 Registration on the Site is free. To register on the Site, the User must fill in the appropriate form, entering his/her name, family name, address, telephone number, an e-mail address, and a password, and click on the [Send] button.
Registration on the Site, by opening a personal account, allows the registered User ("Registered User") to:
- save and modify his/her data;
- access all information relating to orders and returns;
- track the status of the order;
- manage his/her personal data and update it at any time;
- use the dedicated services which can be activated from time to time (e.g. displaying one’s "wish list", etc.);
- express his/her consent to the processing of his/her personal data for RANCÉ & C. S.r.l.’s sending of newsletters.
7.2 The registration credentials (e-mail address and password) must be carefully and attentively stored. They can only be used by the User and cannot be transferred to third parties. The User agrees to keep his/her credentials secret and to ensure that no third party has access to them. The User also agrees to immediately inform RANCÉ & C. S.r.l., via e-mail at customercare@rance1795.com or via telephone at (+39) 02-5810-0855, if the User suspects or becomes aware of an improper use or an undue disclosure of his/her credentials.
7.3 The Registered User warrants that the personal information provided during the Site’s registration procedure is complete and truthful and undertakes to hold RANCÉ & C. S.r.l. harmless and indemnified from any damage, compensation obligation and/or sanction deriving from, and/or in any way connected to, the User’s violation of the rules about the registration on the Site or the conservation of the registration credentials.

8. Orders
8.1  Acceptance of the order. The order is accepted when a confirmation e-mail is sent by RANCÉ & C. S.r.l. to the User. At such time, a contract is executed between the User and RANCÉ & C. S.r.l.
8.2 Order not acceptable. If RANCÉ & C. S.r.l. were unable to accept an order, the related communication shall be sent to the User, and the amount shall be refunded. This could happen if the product is out of stock, due to unexpected stock limits that could not be adequately planned, or due to an error found in the price or description of the product.
8.3  Assignment of order number. The User will be assigned an order number to allow the User to monitor the order. By inputting the order number in the "My Account" section of the Site, the User can check all the information regarding the purchase. In the event of any requests for assistance regarding the order, the User must specify its number.

9. Order change or cancellation
To modify or cancel an order, it is necessary to contact RANCÉ & C. S.r.l. promptly and, in any event, no later than 12 hours from sending the order.
The communication is to be done via e-mail to the address: assistenzaclienti@rance1795.com or by telephone (+39) 02 7202-2290 (Tuesday to Saturday, from 10:30 a.m. to 3:00 p.m. CET and from 3:30 p.m. to 7:00 p.m. CET), indicating the order number of reference.

10. Information on the order status and shipments
At the time of shipment, the User will receive the tracking number via e-mail from the courier in charge of the delivery. Through the tracking number, the User can track the status of his/her shipment. The same number will appear on the User Profile page within the Site.

11. Information about invoices, bank transfers, and reversals
To contact the administrative service, the User must send an e-mail to customercare@rance1795.com or call (+39) 02 5810-0855, keeping in mind that the User must indicate the order number or the document or invoice number for which the User is requesting information.

12. Means of payment
The purchases made on rance1795.com are secure and guaranteed, and the payment can be made through one of the following methods:
- payment with a credit card;
- payment with Paypal.

12.1 Payment by credit card
Where the User elects to pay by credit card, the banking institution of reference will authorize the debit of the amount related to the purchase made. In the event of cancellation, the cancellation of the transaction and the reversal of the amount charged will be requested by RANCÉ & C. S.r.l.
The timing for reversing the charge depends exclusively on the banking system. Once the transaction has been cancelled, RANCÉ & C. S.r.l. can no longer be held responsible for any delays and/or damages caused by the banking system.
RANCÉ & C. S.r.l. reserves the right to request additional information from the User or request that the User sends copies of documents proving ownership of the card used. In the event of refusal, RANCÉ & C. S.r.l. reserves the right not to accept the consummation of the contract. At no time during the process of purchasing by credit card will RANCÉ & C. S.r.l. be able to know personal information relating to the holder of the card; such information is transmitted directly to the site of the banking institution that manages the transaction (protected site).
12.2 Payment with PayPal
By selecting PayPal as the type of payment, the User will be redirected to a page on the PayPal site, and payment is to be made in the manner indicated therein. The information provided on the PayPal site will not be shared with RANCÉ & C. S.r.l. but it will be managed directly by PayPal. In the event of a cancellation of the order or the non-acceptance of the order by RANCÉ & C. S.r.l., the amount will be refunded to the PayPal account. RANCÉ & C. S.r.l. shall not be responsible in any manner for any delays and/or damages caused during this phase.

13. PRICE AND PAYMENT
13.1  Product price. The price of the product (including VAT) will be the price indicated on the order pages when the User places his/her order. While RANCÉ & C. is duly attentive to ascertaining the accuracy of the communicated price, the User is urged to read Article 13.3 concerning the event of an error in the price of an ordered product. The selling price of the products does not include shipping costs, which shall be indicated separately before the consummation of the purchase contract. RANCÉ & C. reserves the right to modify the selling price of the products at any time. The purchase price billed to the User is represented by the selling price available on the Site at the time of the consummation of the purchase contract.
13.2 Application of changes in VAT rates. The price of a product is inclusive of VAT (where applicable), at the current rate applicable and chargeable in Italy at the time of purchase. Should the VAT rate change between the order date and the date when the product is supplied, the VAT rate paid by the User will be adjusted accordingly, unless the product has been paid in full before the change in the VAT rate has gone into effect.
13.3 Error in price. It is always possible that, despite the utmost attentiveness, some of the products on sale on the Site may be priced incorrectly. As a rule, prices will be checked before accepting the order. If the correct price of the product on the order date is lower than the price indicated on the Site on the order date, the lesser amount will be charged. If the correct price of the product on the date of the order is higher than the price indicated on the Site, RANCÉ & C. will contact the User for instructions before accepting the order.
13.4  Timing and means of payment.
13.4.1 Payment for all products must be made using the payment methods available through the Site. Payment for products can only be made using the debit or credit cards indicated on the Site, or by using PayPal. The products must be paid for before shipment is effected.
13.4.2 The charge will be made to the User's credit or debit card, as soon as the User has confirmed the payment on the Site.
13.4.3 If payment is made via PayPal when the User submits the order, the web session is redirected to the PayPal site where the User can complete the payment of the price and delivery costs, using his/her personal account on PayPal or making a transaction without registration, in accordance with the conditions of use of the PayPal service.
13.4.4 Acceptance by RANCÉ & C. of any payment made by the User in relation to any product does not constitute acceptance of the order by RANCÉ & C. and does not constitute consummation of a legally binding contract.
13.5  Incorrect receipt. If the User believes that a receipt contains incorrect information, please send an e-mail to the address customercare@rance1795.com or telephone (+39) 02-5810-0855.
13.6  Digital receipt following order confirmation. If, for any reason, it is not possible for the User to download the receipt from the e-mail or it has not been received, the User needs to send an e-mail to Customer Service at the address customercare@rance1795.com or telephone (+39) 02-5810-0855.

14. Shipping and costs
The shipping cost is charged to the User and calculated automatically by the system based on the amount of the order placed.

15. Delivery times
The delivery times for the goods vary depending on the availability of the purchased product in the warehouse (e.g. if the product is available from the manufacturer) and the delivery methods provided for the same.
The delivery date is purely indicative and is in no way binding for RANCÉ & C. S.r.l.
RANCÉ & C. S.r.l. makes use of couriers/carriers that offer the best quality/price ratio for the destination involved: this allows for offering the Users advantageous prices and quality in the service.
In no case will it be possible to make deliveries by appointment and/or at pre-set times and/or on pre-set days.
Should the goods not be delivered due to an incorrect address provided by the User or due to the expiration of the period when the goods can be held by the courier/carrier in the warehouse and/or due to any reason attributable to the User's conduct, a new shipment will be possible ONLY upon advance payment of the same, according to the processes indicated by RANCÉ & C S.r.l.

16. Delivery of the goods
The ordered product shall be shipped by courier to the delivery address in Italy or an EU country, as indicated by the User. Upon receipt of the products, the courier will request the signature of the User (or that of an adult authorized by the User). There are no deliveries of products to PO boxes. Deliveries are made only on normal business days/times (no deliveries are scheduled during weekends or holidays).
The User can check the status of the order by following the link available in the confirmation e-mail or by going to the MY ORDER section in the CUSTOMER SERVICE area of the Site, which will automatically redirect the User to the courier's website (see Article 10).
Upon delivery of the goods, the User is responsible for checking that:
- the number of boxes delivered corresponds to that indicated in the transport document;
- the packaging is intact and unaltered, including the tape used for closing the package.
In the event of tampering and/or breakage, the User must immediately contest the shipment and/or delivery using the document received by the courier or another operator and affixing a written statement indicating "RESERVE FOR CONTROL OF THE GOODS FOR ....." (stating the reason).
The User must subsequently report any damage within three days of receipt of the goods in the manner provided by the shipping agent.

17. Right of withdrawal
The right of withdrawal is governed by current legislation pursuant to Article 52 et seq. of the Consumer Code as modified by Legislative Decree No. 21 of 21 February 2014.
The User classified as a “consumer” has the right to withdraw from the contract for any reason and without penalty within 14 working days and without having to incur costs other than those provided for in Article 56, Paragraph 2, and Article 57 of the aforementioned decree.

N.B.: The right of withdrawal pursuant to Article 52 et seq. of the Consumer Code is RESERVED EXCLUSIVELY for a “consumer” as defined by the Consumer Code in Article 3, namely, a natural person who acts for purposes unrelated to any business, commercial, craft or professional activity that may be carried out (2).
Therefore, customers effecting purchases with a VAT number and, therefore, as a company and/or professionals cannot exercise the right of withdrawal.

18. Procedures for withdrawal
The right of withdrawal must be exercised through the following procedures:
- The purchased product shall be intact and returned in the original sealed packaging, complete in all its parts (including packaging and any documentation and accessory items: brochures, etc.).
- To exercise this right, the User shall advise RANCÉ & C. S.r.l. through a communication sent via e-mail to customercare@rance1795.com within 14 business days from the date of delivery of the goods.
- The Product - subject to regular and suitable packaging in its original packaging - is to be sent by express courier, at the User’s expense, along with a copy of the receipt, to the following address: RANCÉ & C S.r.l., Via Elia Lombardini, 10 - 20143, Milan (MI) Italy.
Until receipt of the package at the RANCÉ & C. S.r.l., the shipment is the full responsibility of the User.
RANCÉ & C. S.r.l. shall not be liable for any damages and/or theft/loss of the products returned through shipments without insurance.

19. Returns and reimbursements
The goods must be returned to RANCÉ & C. S.r.l., Via Elia Lombardini 10, 20143 Milan, within the terms referenced in Article 18.
Without prejudice to the recovery of any expenses for damage ascertained to the original packaging, RANCÉ & C. S.r.l. shall reimburse the User for the full amount of the return of the goods within 14 days. Such refund shall be effected by reversing the amount charged to the card, in the case of payment via PayPal only. In all other cases, the refund shall be effected by bank transfer, and the User shall be responsible for promptly providing the bank details (IBAN Code) of the account to be used for the refund.

20. Forfeiture of the right of withdrawal
The User shall forfeit the right of withdrawal and the consequent right to a refund if RANCÉ & C. S.r.l. ascertains the existence of one or more of the following conditions:
- Use, including partial use, of the goods and any consumables;
- Missing external packaging and/or original internal packaging;
- Missing product components (accessories);
- Damage to the product for reasons other than its transport.
In the cases indicated above, RANCÉ & C. S.r.l. will return the goods to the User, charging the User for the shipping costs.

21. Applicable law
21.1 The purchase contract concluded on the Site is governed by Italian law.
21.2 The foregoing applies without prejudice to the application, in the event of ‘consumer’ Users who do not have their habitual residence in Italy, of any more favourable and mandatory provisions provided by the law of the country in which they have their habitual residence, in particular in relation to: the term for exercising the right of withdrawal; the deadline for returning the Products, in the event of exercise of said right; the procedures and formalities of the communication of the same; and the legal guarantee of conformity.
21.3 The Court of Milan shall have jurisdiction concerning any dispute relating to the application, execution, and interpretation of these General Conditions of Sale.

22. Disputes
22.1. These General Conditions of Sale are governed by Italian law and shall be interpreted on the basis of it, without prejudice to any other mandatory law or regulation, more favourable to the customer, applicable in the customer's country of regular residence.
22.2. The Court of Milan shall have exclusive and mandatory jurisdiction with regard to any dispute arising from the interpretation and/or application of these General Conditions of Sale. If the domicile or residence of the customer is located in a territory other than the Italian Republic, the Customer may appeal to the Court of Milan.

25. Product warranty
25.1 All products marketed by RANCÉ & C. S.r.l. on its website, rance1795.com, are covered by a legal guarantee of conformity pursuant to and for the purposes of Article 128 et seq. and of Legislative Decree No. 206 of 2005 (Consumer Code).
